Choosing a form of work in Uruguay does not start with finding the lowest rate. First, you need to determine what is being sold, where the work is being done, who the customer is, whether employees are needed and what costs arise. One regime will not suit a programmer with foreign clients, a local tradesperson, and a trading company alike.
Describe your activity before registration
Map out the activity: the provider, service or product, client’s country, place of performance, currency, equipment, contractors, and expected turnover. Separately indicate intellectual property and intermediary operations.
Give this outline to the contador. The name “IT” or “consulting” is not enough: the tax regime depends on facts and contracts.
Independent activities
An individual can register their own activity, but the appropriate form and obligations depend on turnover and the type of service. This involves dealings with DGI and BPS, issuing documents, and keeping accounts.
Do not promise the customer an invoice before registering and checking the format. An error in classification can lead to additional taxes and contributions.
BPS and social contributions
BPS is responsible for social security. Contributions are not merely an optional ‘pension fee’: they relate to status, healthcare coverage, and other rights.
The amount depends on the form and parameters of the activity. Even where income tax is low or zero, contributions and administrative expenses may still be payable.
VAT
The standard VAT rate and whether it applies to a particular transaction are separate questions. For some services, exports and special regimes, a different result is possible, but it must be confirmed.
In the contract, specify whether the price includes tax. Keep documents confirming the client’s country and the nature of the service.
Export of services
Working for a foreign client is not always automatically recognized as exporting services. The relevant considerations are where the result is used, the type of service, and regulatory criteria.
Where applicable, the regime may affect VAT and other taxation. A contador should check each revenue stream, especially where the client has a Uruguayan branch or the result is used domestically.
IT professionals
There are rules and incentives for software development and related services, but ‘IT’ is not a legal category. Analysts, designers, product developers, and license sellers may have different models.
It is necessary to establish who owns the rights, where the product is created and who bears entrepreneurial risk. Do not copy a colleague’s regime without analysing the contract.
Local clients
Services to individuals and companies within Uruguay typically create more direct local obligations. Proper invoices, revenue accounting, and sometimes withholding taxes will be required.
The price for the client should take into account taxes, contributions, accounting fees, vacation, and downtime. Comparing the gross income of the self-employed with the net salary of an employee is misleading.
Trade in goods
A trading business must account for purchasing, imports, warehousing, delivery, returns, and taxes. Margin is not equal to the money in the account. The calculation requires the cost of goods and documented allowable expenses.
Before importing, check product classification, duties, permits and VAT. A mistake at customs can wipe out the profits of a small batch.
Mediation and commission
The agent receives a commission, not necessarily the full value of the transaction. The contract should clearly separate the principal’s money and remuneration. Routing the entire amount through a personal account creates banking and tax risks.
Clarify VAT and withholdings on commission. For an international transaction, the parties and the place of service are important.
When you need a company
A company is appropriate when there are partners, employees, or investments; when limited liability is needed; or when a client requires it. But it adds incorporation costs, accounting, reporting, bank scrutiny, and corporate-governance obligations.
A zero rate for any company is a myth. Income tax, dividend distribution and owner’s salary are analysed separately.
Business bank account
Formal registration makes it easier to explain business receipts, but the bank will still review clients and transactions. Prepare constituent documents, registration, contracts and turnover forecast.
Do not use a personal account as a business’s permanent cash desk without approval. Separating funds makes accounting and confirming their origin easier.
Staff and contractors
Hiring creates responsibilities for registration, payroll, contributions, leave, and occupational safety. The name “contractor” does not cancel the employment relationship if the person actually works as an employee.
Before the first hire, calculate the full cost and prepare the documents with a qualified specialist.
Accounting
Even simple activities require order: bills, statements, contracts, expenses, and a payment calendar. A cloud folder organised by month and a separate account save time when reporting.
A contador should not only submit forms but also explain to the owner which transactions are permissible. The entrepreneur remains responsible for the underlying information.
How to compare options
Calculate annual projections with low, normal, and high turnover. Include taxes, BPS, VAT, accounting, banking, registration, the owner's salary, and closing the business.
Then evaluate legal liability, customer requirements, and scalability. The cheapest regime today can be expensive when growing.
Launch procedure
Describe the activity; obtain written advice from a contador; choose a form; register with DGI and BPS; open a separate account; set up invoicing and accounting; only then begin accepting regular payments.
Check official DGI and BPS resources for changes. The right structure does not promise zero taxes, but it does provide predictable payments, a clean banking history and the ability to grow a business without reworking every contract.
